• Returns & Exchanges: Due to the custom or made-to-order nature of certain promotional merchandise, returns or exchanges may be limited to defective or damaged items upon arrival. Please contact us within 14 days of receiving your package to report any damage or fulfillment errors.

• Custom Software: Ownership of custom software developments or deliverable code created for business clients will be governed by the individual service agreement or statement of work (SOW) executed between 118 West LLC and the client.

  • All software, applications, browser extensions, and plug-ins developed, provided, or distributed by 118 West LLC—including all underlying source code, object code, architecture, algorithms, user interfaces, documentation, and updates—remain the exclusive intellectual property of 118 West LLC. You are granted only a limited, non-transferable, non-sublicensable, and revocable license to use the apps and plug-ins solely as intended for your internal business operations. You explicitly agree that you shall not, directly or indirectly:

    • Copy, modify, decompile, disassemble, translate, or reverse engineer any part of the code;

    • Analyze, inspect, or extract the source code, data structures, or proprietary workflows for competitive analysis, bench-marking, or product development;

    • Rent, lease, sell, sublicense, distribute, or otherwise transfer access to the code or plugin to any third party;

    • Create derivative works based on or inspired by our software or AI implementations.

  Any unauthorized access, reverse engineering, or copy of our code constitutes a material breach of these Terms and a violation of applicable copyright, trade secret, and proprietary rights laws.

5. Subscriptions, Fees, and Cancellations

• Billing: You authorize 118 West LLC to charge your provided payment method on a recurring basis (e.g., monthly or annually) according to your selected plan.
• Cancellation: You may cancel your software subscription at any time via your account settings or by contacting customer support. Cancellations take effect at the end of the current billing cycle, and previous subscription fees are non-refundable unless specified otherwise in writing.

• General Disclaimer: To the maximum extent permitted by law, the Services and merchandise are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.
• Limitation of Liability: 118 West LLC shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of or related to your use of our software, AI tools, or physical products. Our maximum cumulative liability shall not exceed the total amount paid by you to 118 West LLC in the 12 months preceding the claim.
